Terms of Service

1. Parties and acceptance

These Terms of Service (the "Terms") constitute a binding agreement between Jeziel Leira, acting as a natural person conducting commercial activities under the trade name Workflow507 ("Workflow507", "we", or the "Company"), holder of personal ID 8-783-1657 DV 23 and domiciled at Barrio Balboa, La Chorrera, Panamá Oeste, Republic of Panama, and the natural or legal person who accesses, registers, contracts, or uses any of the services offered by Workflow507 (the "User" or "Client").

By accessing workflow507.com, creating an account, contracting a subscription, or purchasing a product, the User declares having read, understood, and accepted these Terms, as well as the Privacy Policy and the Refund Policy, which form an integral part of this agreement.

2. Definitions

  • Service: any SaaS product, digital platform, subscription, or professional service offered by Workflow507, present or future.
  • Account: the User's personal and exclusive access to the Service via authentication credentials.
  • Subscription: contracting the Service for a set period (monthly, annual, or other), with automatic renewal unless otherwise indicated.
  • One-time payment: non-recurring contracting of the Service or specific features.
  • Payment processor: Paddle.com Market Ltd., acting as Merchant of Record for all transactions.

3. Legal capacity and eligibility

Use of the Service is permitted only to individuals aged eighteen (18) or older with full legal capacity to contract under Panamanian law. Legal entities must act through their legal representative or duly empowered agent. Workflow507 reserves the right to require identity verification and to suspend accounts where there is reasonable evidence of non-compliance.

4. Registration and user account

  • The User undertakes to provide true, accurate, current, and complete information during registration and to keep it up to date.
  • The User is responsible for the confidentiality of their access credentials and for all activity performed from their account.
  • The User must immediately notify Workflow507 of any unauthorized use of their account.
  • Workflow507 reserves the right to suspend or cancel accounts that contain false information, misuse, or suspicious activity.

5. Description of the Service

Workflow507 offers SaaS products and AI-driven automation services directed at natural persons and legal entities. The specific features, limits, and conditions of each product will be described on the corresponding page at the time of contracting. Workflow507 reserves the right to modify, suspend, or discontinue any functionality of the Service in whole or in part, with reasonable notice to the User where the change is substantial.

6. Prices, billing, and payment processor

  • Prices for each product are published on the site and may be expressed in United States Dollars (USD) or the applicable currency.
  • All payments are processed through Paddle.com Market Ltd., acting as Merchant of Record. By making a payment, the User accepts the Paddle Buyer Terms.
  • Invoices and receipts are issued by Paddle on behalf of Workflow507.
  • Workflow507 may modify prices at any time. Changes will apply to the next billing cycle after notifying the User at least thirty (30) days in advance.
  • Applicable indirect taxes (VAT, ITBMS, sales tax) will be added to the price based on the User's jurisdiction and charged by Paddle.

7. Subscriptions and automatic renewal

  • Subscriptions automatically renew at the end of each cycle (monthly, annual, or other) for a period equal to the original, unless previously cancelled by the User.
  • The User may cancel automatic renewal at any time from their account or by contacting [email protected].
  • Cancellation takes effect at the end of the paid period; the User retains access to the Service until that date.
  • The refund policy is governed separately in the Refund Policy.

8. One-time payments

Products or features offered through one-time payment do not entail renewal. The User obtains the access or license described in the product's commercial offer at the time of purchase. Applicable refund conditions are governed by the Refund Policy.

9. Acceptable use

The User undertakes not to use the Service for:

  • Illegal, fraudulent, defamatory, or public-order-violating activities.
  • Infringing intellectual property rights of Workflow507 or third parties.
  • Transmitting viruses, malware, or malicious code.
  • Interfering with the infrastructure, reverse engineering, or attempting unauthorized access.
  • Sending spam, unsolicited bulk messages, or violating applicable anti-spam regulations.
  • Reselling, sublicensing, or transferring access to the Service without express written authorization.

Breach of this clause entitles Workflow507 to suspend or cancel the account without refund and to pursue appropriate legal action.

10. Intellectual property

All intellectual property rights over the Service, the software, content, trademarks, logos, and any associated material are the exclusive property of Workflow507 or its licensors. Contracting the Service grants the User a non-exclusive, non-transferable, limited, and revocable license to use the Service solely for the intended purposes during the term of the contractual relationship.

Data and content uploaded by the User remain their property. The User grants Workflow507 a limited license to process them for the sole purpose of providing the Service.

11. Availability and support

Workflow507 will make reasonable efforts to keep the Service available 24 hours a day, without committing to a specific uptime percentage unless expressly agreed in a separate service-level agreement (SLA). Scheduled interruptions may occur for maintenance, or unscheduled ones due to third parties (infrastructure providers, force majeure, or acts of God).

Support is provided through the official channel indicated on the site, during business hours (Monday to Friday, 9:00 to 18:00 Panama time), except for specific conditions otherwise agreed.

12. Limitation of liability

To the maximum extent permitted by Panamanian law, Workflow507's total liability to the User for any claim arising out of or relating to the Service shall be limited to the amount actually paid by the User to Workflow507 during the twelve (12) months immediately preceding the event giving rise to the claim.

Workflow507 shall not be liable for indirect damages, loss of profits, loss of opportunity, loss of data, or punitive damages, except in cases of duly proven willful misconduct or gross negligence.

The Service is provided "as is" and "as available". Workflow507 does not warrant that the Service will meet specific expectations of the User not agreed in writing.

13. Indemnification

The User undertakes to hold Workflow507, its representatives, employees, and providers harmless from any claim, damage, loss, fine, or cost (including reasonable legal fees) arising from misuse of the Service, breach of these Terms, or violation of third-party rights.

14. Termination

  • The User may terminate their contract at any time by cancelling their subscription.
  • Workflow507 may terminate or suspend the Service for material breach, non-payment, misuse, or justified operational reasons, with prior notice where reasonable.
  • Termination does not release the User from financial obligations accrued up to that date.
  • After termination, Workflow507 will retain the User's data for the period set out in the Privacy Policy and will proceed with its secure deletion at the end of that period.

15. Modifications to the Terms

Workflow507 reserves the right to modify these Terms at any time. Substantial modifications will be notified to the User by email or notice in the Service at least fifteen (15) days in advance. Continued use of the Service after entry into force constitutes acceptance of the new Terms.

16. Force majeure

Neither party shall be liable for breach of obligations arising from force majeure or acts of God, including but not limited to natural disasters, acts of authority, generalized internet or infrastructure provider outages, pandemics, or armed conflicts.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Panama. The parties expressly submit to the jurisdiction of the ordinary courts of Panama City, waiving any other jurisdiction that might apply.

18. Severability

If any provision of these Terms is declared null, illegal, or unenforceable by a competent court, that provision shall be interpreted in the manner closest to the original intent and the remaining provisions shall continue in full force and effect.

These Terms are available in Spanish and English. In the event of any discrepancy, divergence, or conflict between the two versions, the Spanish version shall prevail, as Spanish is the official language of the Republic of Panama and the applicable jurisdiction of this contract.
